Terms and Conditions

These terms govern access to and use of the DineEat restaurant POS ecosystem and related services.

Effective date: 12 September 2026

1. Acceptance of the terms

By accessing, purchasing, installing or using DineEat software, applications, websites or related services, you agree to these Terms and Conditions. If you are using DineEat for a business, you confirm that you are authorized to accept these terms on behalf of that business.

2. About DineEat

DineEat is a restaurant and hotel point-of-sale ecosystem owned and operated by DineEat under Smart Solutions. The platform may include desktop POS software, administrative dashboards, owner applications, reporting tools and supported integrations.

Prashant Dhuri is the owner of DineEat. Rishi Urankar is the Co-Founder and Developer.

3. Software licence

Subject to payment and continued compliance with these terms, DineEat grants the customer a limited, non-exclusive, non-transferable licence to use the subscribed software for the approved restaurant outlets and devices.

  • The software may not be resold, copied, reverse-engineered or redistributed without written permission.
  • Access credentials must not be shared with unauthorized individuals.
  • The customer must use the software only for lawful business operations.
  • Additional outlets or devices may require an updated plan or quotation.

4. Account and business information

Customers are responsible for providing accurate outlet, tax, menu, pricing, user and business information. Customers must protect their account credentials and notify DineEat if unauthorized access is suspected.

5. Installation and third-party services

Installation, configuration, data migration, hardware, printers and third-party integrations may be quoted separately. External services such as payment gateways, messaging providers and online ordering platforms are governed by their own terms, availability and charges.

DineEat is not responsible for interruptions, policy changes or service failures caused by third-party providers.

6. Offline and synchronization functions

Some DineEat functions may operate locally during internet interruptions. Cloud synchronization, remote reporting, backups and third-party integrations require a working internet connection. Customers are responsible for maintaining suitable devices, electricity, networking and internet access.

7. Payments and renewals

Fees, billing schedules, setup charges, annual maintenance, integration charges and applicable taxes will be specified in the quotation, invoice or service agreement accepted by the customer.

Unless otherwise stated in writing, payments made for completed setup, installation, configuration or subscription periods are non-refundable.

8. Customer responsibilities

  • Verify menu items, prices, taxes, discounts and bill formats before going live.
  • Maintain appropriate backups and securely operate local devices.
  • Train authorized employees and revoke access when staff members leave.
  • Follow all tax, invoicing, employment and restaurant regulations applicable to the business.
  • Immediately report suspected security or operational issues.

9. Availability and maintenance

We aim to provide reliable service but do not guarantee uninterrupted availability. Maintenance, updates, security events, internet outages, hardware failures or circumstances beyond reasonable control may temporarily affect some functions.

10. Intellectual property

DineEat software, interfaces, branding, designs, source code, documentation and related materials are protected intellectual property. No ownership rights are transferred to the customer through a subscription or installation.

11. Limitation of liability

To the extent permitted by applicable law, DineEat and Smart Solutions will not be liable for indirect, incidental or consequential losses, including loss of profit, business, data or reputation arising from the use or inability to use the service.

The customer remains responsible for verifying financial records, tax calculations, inventory information and operational reports before relying on them.

12. Suspension and termination

Access may be suspended or terminated for non-payment, misuse, illegal activity, security risks, breach of these terms or actions that may harm the service or other customers. Outstanding charges remain payable after termination.

13. Changes to these terms

These terms may be updated to reflect changes in the software, services, business requirements or applicable law. The updated version will be published with a revised effective date.

14. Governing law and contact

These terms are governed by the laws of India. Subject to applicable law, disputes will be handled under the jurisdiction of the competent courts in Maharashtra, India.
